1. Introduction
These Terms and Conditions ("Terms") govern your use of the website prodevly.website and any services provided by ProDevly ("we", "us", "our"). By accessing this website or engaging our services, you agree to be bound by these Terms. If you do not agree to these Terms, please do not use our services.

2. Services Provided
ProDevly provides the following services:
- Website development and design
- Custom web application development
- SaaS (Software as a Service) development
- AI and automation integration
- API and third-party integrations
- Maintenance and technical support
Services are provided on a project basis or on a monthly retainer as agreed between ProDevly and the client. All service details, scope and deliverables are defined in a separate project agreement or proposal accepted by both parties.
3. Engagement & Project Agreements
Before any work commences, ProDevly will provide a written proposal or project scope document detailing the deliverables, timeline, payment milestones and any other relevant terms. Work begins only after the client has reviewed and accepted the proposal and made the agreed initial payment.
4. Payments & Pricing
Pricing for services is outlined on our Pricing page and in project proposals. All prices listed on the website are starting prices and may vary based on project scope, complexity, features, integrations and timeline requirements.
Payment terms are agreed upon in the project proposal. Standard payment structure is milestone-based, with an initial deposit required before development begins. ProDevly accepts payments via bank transfer, UPI and online payment via Razorpay (for domestic and international cards).
All prices are inclusive of applicable taxes unless otherwise stated in the proposal.
5. Intellectual Property
Upon full payment of all invoices, the client receives ownership of the custom code and assets developed specifically for their project. ProDevly retains ownership of any proprietary tools, frameworks or methodologies used in the development process.
Third-party libraries, frameworks and tools are subject to their respective licences. ProDevly will inform the client of any significant third-party dependencies.
6. Confidentiality
ProDevly treats all client information, project details and business data with strict confidentiality. We do not share client information with third parties except where required to fulfil the service (e.g., hosting providers) or where required by law.
7. Client Responsibilities
The client is responsible for providing accurate and timely information, content, assets and feedback required for project completion. Delays caused by late client response may impact agreed timelines. ProDevly will not be held liable for project delays caused by the client.
8. Limitation of Liability
ProDevly's liability in connection with any service is limited to the total amount paid by the client for that specific service. We are not liable for indirect, incidental or consequential damages arising from the use of our services.
9. Governing Law
These Terms are governed by the laws of India. Any disputes arising from these Terms or our services shall be subject to the jurisdiction of courts in India.
10. Changes to These Terms
ProDevly reserves the right to update these Terms at any time. Updated Terms will be posted on this page with a revised date. Continued use of our services after changes are posted constitutes acceptance of the revised Terms.
